Welcome to Digitalsolley. These Terms of Service govern your access to and use of our website (http://www.digitalsolley.com), digital marketing services, consultations, content solutions, and any related platforms or tools operated by Digitalsolley (“we,” “our,” or “us”). By using our services, you agree to these terms. If you do not agree, please discontinue using our services.

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding agreement to access or use our services. By entering into a contract with us, you represent that you are doing so on behalf of a legitimate business entity or with authority to act on its behalf.

2. Services Provides

Digitalsolley offers:

  • Web design and development
  • SEO, content strategy, and performance marketing
  • Branding and business growth systems
  • Consulting and digital transformation support

The scope, deliverables, pricing, and timelines for any service are mutually agreed in writing before project initiation.

3. Payments and Billing

  • All fees must be paid according to the agreed proposal or invoice terms.
  • Late payments may result in service delays, suspension, or additional charges.
  • Project prices are non-refundable once work has commenced unless stated otherwise.
  • Taxes, payment gateway fees, or international transaction charges must be borne by the client.

4. Client Responsibilities

Clients must:

  • Provide accurate information, timely approvals, and necessary access (hosting, branding assets, ad accounts, login credentials, etc.)
  • Ensure submitted content does not infringe third-party rights or violate any laws

Digitalsolley is not responsible for delays caused by incomplete or late client inputs.

5. Revisions and Deliverables

Revisions are limited as specified in the proposal. Additional revisions or change requests outside the original scope may incur additional fees. Deliverables remain in our control until the final fee settlement.

6. Intellectual Property

  • All original creative assets, code, copies, and strategies developed by Digitalsolley remain our intellectual property until fully paid.
  • Upon final payment, ownership of final approved deliverables transfers to the client, unless otherwise specified.
  • We retain the right to showcase completed work for portfolio or marketing purposes.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, trade secrets, project details, business strategies, account credentials, and any non-public data exchanged during the engagement.

8. Third-Party Tools and Integrations

Digitalsolley may utilize external platforms (including WordPress, ad networks, analytics tools, plugins, etc.). We are not liable for downtime, pricing changes, service limitations, or failures caused by third-party software.

9. Limitation of Liability

Digitalsolley will not be liable for:

  • Loss of profits, revenue, data, or business opportunities
  • Consequential or incidental damages
  • Issues arising from client misuse, unmanaged platforms, or unauthorized system access

Our maximum liability shall not exceed the total amount paid for the specific service under dispute.

10. Marketing & Attribution Rights

Unless the client explicitly requests otherwise in writing, Digitalsolley may:

  • Include the client’s name and brand in case studies
  • Display completed work in marketing materials
  • Place a small attribution link in footers of web projects developed by us

11. Termination

Either party may terminate the contract if the other party breaches these terms and fails to remedy within 10 days of written notice. Upon termination:

  • The client pays for all completed work and costs incurred up to that point
  • Partially completed work will be delivered only after settlement of dues

12. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in New Delhi.

13. Modifications to Terms

We may update these terms as needed. Continued use of our services after changes constitutes acceptance of the revised terms.
